Terms & Conditions:

The following paragraphs are important. They are the terms and conditions upon which we do business with you.

1) DEFINITIONS:

In these terms and conditions: “Company” means Concept Virtual Design Ltd (Registration No.05800555) “Conditions” means the terms and conditions of sale as referred to in this document and any further terms and conditions agreed in writing by the Company and the Customer. “Customer” means the person who places an Order for the goods and design services with the Company “Goods & Design Services” means the items to be created or supplied by the Company as detailed on the client’s email attached visual designs and specifications, acknowledged by the Customer prior to order.  “Order” means the Customer’s Order for the Goods which shall be deemed to be an offer by the Customer to purchase the Goods pursuant to the conditions.  “Price” means the price for the Goods & Design Services excluding carriage, packing, insurance, and VAT

2) BASIS OF SALE

  1. These Conditions shall apply to all Orders for the Sale of Goods by the Company to the Customer, and which are on a “Design & Supply Only” basis. No variation to these conditions (including any special terms and conditions agreed between the parties) shall be binding unless agreed in writing on the Order by a representative of the Company. The Company does not carry out installation work, but if the customer so requires, the Company can provide details of manufacturer-approved installers. However, it remains the Customer’s responsibility to enter into a separate contract with the installer or builder for such installation and to arrange for any necessary electrical, plumbing, building or hand painting works to be carried out by appropriate tradesmen.
  2. The Company can only give a guide estimate of the likely fitting charge based upon its experience of a reasonably competent fitter fitting the Company’’ own display bathrooms and furniture in its showroom and based upon the day rates for contractors then prevailing. The Company makes no warranty concerning such estimates and they are made entirely without liability and the Customer shall place no reliance upon any such estimates given.
  3. The Company’s employees or agents are not authorised to make any verbal representations concerning the Goods unless confirmed by the Company in writing. The Customer acknowledges that it does not rely on and waives any claim in respect of any such representations which are not so confirmed.
  4. The designs and specifications of the Goods submitted by the Company for the Customer’s approval will be prepared with all reasonable care, but the Customer shall be responsible for ensuring that such designs and specifications meet the Customer’s particular requirements (whether advised to the Company) when approving the same.
  5. Any illustrations or descriptive literature including but not limited to, particulars of colour, shade and design contained within the Company’s design packs or other literature are for illustrative design purposes only. Such brochures or literature of the company shall not be treated as a representation by the Company that the Goods as supplied by the Company will be identical to those illustrated or described in or by the literature.
  6. The Company’s professional design services are fully chargeable in respect of all time spent creating client and development project designs. The Company will invoice for design fees for bathroom and dressing room project designs, depending on the size and complexity of the project. If you place your full goods order (all sanitary ware, all brass ware, all bathroom tiles, all furniture and finishes) with us, any design fee is rebated back against your order, making the Company’s design service free to you. If you decide not to proceed with the supply order, design fees are retained as payment for the Company’s creative service and studio time that we’ve provided.
  7. Full technical working plans (plumbing and waste positions, service wall positions, tiling calibration and lighting guidance) are issued once your goods order has been placed and confirmed. These plans are specific to the products we supply and ensure professional guidance to your builders or trades fitting on site.
  8. All CGI visuals, drawings, and technical documents remain the property of Concept Virtual Design until your order is confirmed and paid.
  9. In the case of Business Sales, you confirm that these are the only terms of the agreement between us and any provisions upon which you purport to purchase including those on any of your purchase order, or confirmation of order or similar documents or forms do not apply to this agreement between us.

3) CANCELLATION

  1. The customer may not cancel the contract without the consent of the company.
  2. Any item(s) will only accepted for cancellation or return at the Company’s sole discretion and will be subject to a handling / re-stocking charge of 35%. The balance will be made available to the Customer by way of credit note only. No monetary refund will be made. Any goods accepted for return must be in their original packaging and in a saleable condition. Special Order items, which are items specially ordered by the Company from the manufacturer and which Order cannot be cancelled by the Company can neither be cancelled nor returned under any circumstances.
  3. We reserve the right to change the Price by giving you notice at any time before delivery to reflect an increase in the cost to us such as foreign exchange fluctuations, alteration of duties, increase of the costs of materials and such like. If we change the Price and you are not happy with it, you will be able to cancel your order. Products which are not standard and are therefore specifically ordered for you or are fabricated for you cannot be cancelled after the order/fabrication process has started. If we do agree to cancel the order, you will be liable for any reasonable costs incurred.

4) TERMS OF PAYMENT

  1. Payment is required on placement of your order, please note that we will not arrange order processing or delivery until we are in receipt of cleared funds.
  2. For longer term design and supply contract projects for new build houses and major extensions, separate terms for the payment, call off and delivery of goods to be agreed in writing by the company to suit the customers build schedule once known.

5) COLOUR/SHADE OF GOODS

The company will use reasonable endeavours to provide the Goods in accordance with the colour and/or shade of the Goods required. The Company reserves the right to provide Goods which are reasonably close in colour and shade to those Goods supplied by the manufacturer of those Goods. The Customer recognises that such changes to shade and/or colour variations are outside the control of the Company.

6) ACCESS

The Customer shall afford the Company’s representative full access to the Customer’s premises for the purpose of delivery of the Goods

7) DELIVERY

Any delivery dates given are estimated and unless agreed to in writing by the company, time of delivery shall not be of essence of the contract and the company shall not be liable to compensate the customer for any consequential loss arising out of the non-delivery or late delivery of goods.

8) BREAKAGE’S / SHORTAGES

  1. Goods must be signed for on delivery by the customer or someone acting on his behalf who will be his agent for that purpose.
  2. The customer or his agent must inspect all goods immediately on receipt thereof and shall advise our driver at the time of delivery of any breakages or shortages which are apparent on such inspection. In any event the Customer must advise the Company in writing within 7 days of any breakages or shortages.
  3. For tiles, care needs to be taken when unpacking the Goods as the spacers may need to be removed from the packaging before the Goods are lifted out. The Goods should always be stacked and stored vertically (on edge) but not on a hard surface as this may cause unnecessary edge chipping. We cannot be held responsible for damage which occurs after delivery

9) SHOWER GLASS

It is the Customer’s responsibility to check the opening, width, height and handing of any shower doors and enclosures unless this is being professionally templated. Please note that a tolerance needs to be allowed for when fitting doors into a recess.

10) TILES

We recommend customers and installers should ensure that sufficient quantities of porcelain tiles / natural stone products are specified at the time of ordering and delivery to site, prior to works starting (allowing wastage, breakages, and cuts) since the Company cannot guarantee a shade / batch number match for subsequent orders and quantities placed. Surplus quantities of tiles are non-returnable.

11) MANAFACTURER WARRANTY

The Customer shall enjoy the benefit of the manufacturer’s Warranty

Materials: The materials used in the manufacture of the Goods will be of the same quality and standards as that of the Goods display in the Company’s studio. The Customer is accordingly advised to inspect the studio displays and satisfy them that such quality and standards meet their requirement. The Customer should be aware that certain products, processes, or services offered by the Company are not directly manufactured or supplied by the Company, and therefore not supplied within the scope of the Company’s approved quality system. However, they are subject to goods inward inspection procedures and only suppliers approved by the Company’s Supplier Assessment System will be used.

Replacement: The company’s liability is limited to providing, free of charge, replacement of any furniture items or components which prove defective at any time within the manufacturer’s warranty period from the date of delivery, provided that the Company shall be under no liability in respect of defects arising from fair wear and tear, wilful damage, negligence, or misuse.

12) DISCLAIMER

Any drawing / sketch, visualisation or information supplied, be it verbal or written, is given for guidance only. It is the customer’s responsibility to confirm with qualified professionals the viability of the installation of products sold and delivered to the customer.

13) GOVERNING LAW

These Conditions shall be governed by and construed in accordance with the laws of England and Wales.

14) THIRD PARTIES

This Agreement is not intended to and does not give any third parties any rights to enforce any of its provisions.

15) FORCE MAJEURE EVENT TERMS & CONDITIONS 

Concept Virtual Design shall not be liable for any delay or failure to preform its obligations where such delay or failure results from events beyond our reasonable control. Including but not limited to acts of God, fire, flood, extreme weather, pandemic, third party supplier delays or changes in legislation.
